Publisher Agreement

Version 1.0, last updated 9 October 2026.

1. The agreement

This agreement binds the person or entity that opens an Imprint ("the Publisher") and the operator of ZI² Books ("the Platform"). It is accepted when the Publisher ticks the acceptance box at signup or first uses the publisher console, and that acceptance is recorded with its date and the agreement version.

2. Eligibility and the account

The Publisher must be at least 18 years old and able to form a binding contract, must give accurate account information and keep it accurate, and runs one account. The Publisher is responsible for the confidentiality of its credentials and for everything done under its account, and will tell the Platform at support@zi2books.com at once about any unauthorized use.

3. What the Publisher grants

The Publisher grants the Platform a non-exclusive, worldwide license, for the term of this agreement, to host, reproduce, format, distribute, and display its uploaded works, covers, and metadata for the purposes of selling the works, delivering them to buyers, and marketing the storefront, including showing covers and up to ten percent of a work as a sample. The license ends with the agreement, except that buyers keep the copies they bought, the Platform keeps transaction records, and metadata already distributed in records of past sales may persist.

4. What the Publisher promises

The Publisher represents and warrants that it owns or controls every right needed to sell each work it lists worldwide; that no work infringes any copyright, trademark, moral, privacy, or other right; that no work is unlawful, defamatory, or malicious code; that its metadata and listings are accurate and not misleading; that it is solely responsible for royalties or payments owed to its own authors and rights-holders; and that it will follow the law in the places it sells. The Publisher accepts sole liability for breach of these promises.

5. Fees and payouts

Opening an Imprint, uploading files, revising them, and keeping a storefront cost nothing. The Platform's entire compensation is the platform share, ten percent of each sale unless a different rate is stated on the Publisher's console, deducted at the moment of sale. The remainder accrues to the Publisher's ledger, which is visible in the console at all times. Payouts of the accrued balance are made on request to the Publisher's nominated account, less any refunds, chargebacks, or amounts the Publisher owes under this agreement, which the Platform may offset. Fee changes take effect thirty days after notice.

6. Content control and removal

The Publisher decides what it lists, at what price, and may take editions off sale at any time. The Platform may remove a work or suspend an account immediately where it reasonably believes a work or the Publisher's conduct breaches this agreement, infringes rights, is unlawful, or exposes the Platform or its users to material risk, and may withhold the related balance until the matter is resolved.

7. Buyer data

The Platform shares with the Publisher the buyer email addresses and order details of that Publisher's own sales, for fulfilment and lawful contact. The Publisher will handle that data under the Privacy Policy and applicable data law, and will not sell it.

8. Indemnity

The Publisher will defend and hold harmless the Platform and its operators from third-party claims, losses, and reasonable legal costs arising from the Publisher's works, listings, or breach of this agreement. The Platform may withhold the Publisher's balance while such a claim is open.

9. Liability

Neither party is liable to the other for lost profits or indirect loss. The Platform's total liability to the Publisher is limited to the platform share it collected from the Publisher's sales in the twelve months before the claim. Nothing limits liability that cannot lawfully be limited.

10. Term and termination

Either party may end this agreement with thirty days' written notice; the Platform may end or suspend it immediately for the causes in section 6. On termination the storefront closes, the Publisher may export its files and records for sixty days, and the remaining balance is paid out after a ninety-day window for refunds and chargebacks.

11. General

The Publisher pays its own taxes on its earnings. This agreement does not create a partnership, agency, or employment. It is governed by the law of the operator's principal place of establishment. Notices go to support@zi2books.com. If a clause is unenforceable the rest stands. The current version, with its date, always lives at this address; changes to fees or to sections 5, 8, or 9 take effect thirty days after notice, other changes on posting.
